1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Fintrinsic platform, products, websites, mobile applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and all policies referenced herein, including our Privacy Policy. If you do not agree, you must immediately discontinue use of the Services.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement in order to use the Services. By using the Services, you represent and warrant that you meet these requirements and that all registration information you provide to us is truthful, accurate, and complete.

3. Account Registration and Security

Certain features of the Services require you to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or suspected breach of security. We reserve the right to suspend or terminate accounts that violate these Terms or that present security risks to the platform or other users.

4. Subscription Plans, Billing, and Refunds

Fintrinsic offers free and paid subscription plans. By upgrading to a paid plan, you authorize us (through our payment processor, Stripe) to charge the applicable fees to your designated payment method on a recurring basis until you cancel. Fees are non-refundable except where required by law or expressly stated otherwise. You may cancel future renewals at any time from your account settings; cancellation does not entitle you to a refund for the current billing period.

5. Permitted Use

Fintrinsic provides AI-assisted research and educational tooling to help users explore equity markets. You agree to use the Services solely for lawful purposes and in accordance with these Terms. You may not:

• Use the Services in any manner that violates applicable laws or regulations.
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive source code from any portion of the Services.
• Use automated systems (including bots or scrapers) to extract data except through officially supported APIs.
• Upload or transmit malicious code, interfere with platform stability, or disrupt other users.
• Misrepresent your identity or impersonate any person or entity.
• Resell, sublicense, or otherwise provide access to the Services to third parties without our written consent.

6. Educational and Non-Advisory Nature of the Services

Fintrinsic is an educational platform. All outputs, reports, scores, and narratives produced by the Services are generated for informational purposes only. We are not registered investment advisers, broker-dealers, or fiduciaries, and nothing provided through the Services constitutes investment, financial, legal, or tax advice. You are solely responsible for any investment decisions you make and should consult qualified professionals before acting on information obtained through the platform.

7. Data Use and Privacy

We collect and process personal information as described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices and the transfer and processing of your information in the United States and other jurisdictions. You are responsible for ensuring that your use of the Services complies with any privacy or data protection obligations applicable to you.

8. AI and Third-Party Service Disclosures

Our Services rely on third-party data providers, large language models, and infrastructure vendors (including but not limited to Financial Modeling Prep, OpenAI, Google Cloud, Vercel, Upstash, and Stripe). We do not control these third parties and are not responsible for their content, accuracy, or availability. AI-generated insights may contain inaccuracies, biases, or omissions. You should independently verify important information before relying on it.

9. Intellectual Property

The Services, including all software, content, visual interfaces, logos, trademarks, and documentation, are owned by Fintrinsic or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal purposes. Except for the rights expressly granted, no other rights are conveyed or implied.

10. User Content

You may submit input data, prompts, or other materials to the Services ("User Content"). You retain ownership of your User Content, but you grant Fintrinsic a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and create derivative works from your User Content as necessary to operate and improve the Services, comply with legal obligations, and enforce these Terms. You represent that you have all necessary rights to submit User Content and that your submissions do not infringe any third party rights.

11. Security and Responsible Disclosure

We implement industry-standard safeguards to protect the Services. You agree not to probe, scan, or test the vulnerability of our systems without prior written consent. If you discover a security issue, please notify us promptly at Admin@fintrinsic.org and allow us a reasonable time to investigate before publicly disclosing the issue.

12. Service Availability and Modifications

We strive to maintain a reliable platform but cannot guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuance of the Services or any feature thereof.

13. Termination

We may suspend or terminate your access to the Services at our discretion if you violate these Terms, create risk or possible legal exposure for us, or for any other reason permitted by law. Upon termination, your right to access the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall continue in effect, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FINTRINSIC DOES NOT WARRANT THAT THE SERVICES WILL BE ACCURATE, COMPLETE, RELIABLE, SECURE, ERROR-FREE, OR AVAILABLE AT ANY PARTICULAR TIME. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINTRINSIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

16. Indemnification

You agree to defend, indemnify, and hold harmless Fintrinsic and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your User Content, or your violation of these Terms or applicable law.

17. Governing Law; Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved through good faith negotiations. If the parties cannot resolve the dispute informally, exclusive jurisdiction and venue shall lie in the state and federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

18. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after the effective date of the revised Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
